Selling a business: preparing discussions with your professionals

Considering a business sale does not mean you have already decided to sell. Preparing an initial conversation helps establish your intention, whom to consult and what information to share at the right time.

Clarify where you are in your thinking

Explain whether you are considering a full sale, bringing in shareholders or a gradual transition. You can also say that several options remain open. Present the business sector, country of operation and your time horizon without sharing sensitive commercial data at the outset.

Separate your personal intention from decisions already made with the other people involved. A general presentation of the project is neither a sales mandate nor a commitment to a transaction.

Distinguish roles before sharing a dossier

Ask each professional what they do themselves and what falls to someone else. Transaction preparation, valuation, contracts and tax matters should be assigned to the relevant professionals.

  • What is the scope of your involvement?
  • Who receives the information, and under what confidentiality arrangements?
  • How are the services and remuneration defined?
  • Which steps require my agreement before contacting a third party?
  • What other advisers should be involved in the discussion?

Build a timetable of questions

Prepare a list of known deadlines and open topics: business organisation, the executive's future role, people's availability and coordination of advisers. Ask the professional what information they need to establish their own timetable.

Do not confuse a desired deadline with a guaranteed timescale. Process arrangements, documents and responsibilities must be clarified directly with the selected professionals.

Address personal plans after the sale separately

The future of the business and your personal plans may call for different conversations. Note your questions about banking relationships, existing commitments and family projects without assuming an investment or wealth structure.
